Terms of Service

Welcome to MusiTer. These Terms of Service ("Terms") govern your access to and use of the MusiTer platform, website, and services (collectively, the "Service") operated by Musiter Inc. d/b/a MusiTer ("MusiTer", "we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old (or the minimum age required by the laws of your jurisdiction) to use MusiTer. By using the Service, you represent and warrant that you meet this requirement and that your registration information is accurate and complete.
If you are between the age of 13 and the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf, and that they consent to your use of the Service.
2. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. MusiTer is not liable for losses resulting from unauthorized access to your account except to the extent caused by our willful misconduct or as otherwise required by law.
You may not create accounts by automated means, use another person's account, or transfer your account to any other person without our written consent.
3. Beta and Early Access
The Service is currently offered in an early access or beta capacity. Features may be incomplete, experimental, subject to change, temporarily unavailable, or discontinued at any time without notice.
MusiTer is not liable for any data loss, service interruptions, feature removal, or other limitations that occur during or as a result of the beta period. Your participation in early access is voluntary and subject to these Terms.
4. Community Guidelines
You agree that the primary purpose of content on MusiTer is to relate to music, your musical career, performances, collaborations, or your professional journey as a music practitioner.
You agree not to use the Service to promote, share, or distribute content that is unrelated to the intended professional purpose of the platform, including spam, irrelevant commercial promotions, or other off-topic material.
MusiTer reserves the right, but does not assume any obligation, to monitor content or user activity. We may remove, restrict, or disable access to any content or account at our sole discretion and without prior notice or liability to you.
5. Prohibited Conduct
You agree not to use the Service to:
- Post content that is defamatory, harassing, abusive, threatening, obscene, or hateful toward any individual or group.
- Infringe any intellectual property rights, including uploading music, recordings, or other material you do not own or have authorization to share.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Distribute malware, viruses, or any harmful code.
- Scrape, crawl, or harvest user data without permission.
- Circumvent, disable, or interfere with security features of the Service.
- Violate any applicable law or regulation.
6. User Content
You retain ownership of content you post on MusiTer. By posting content, you grant MusiTer a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify (for formatting purposes only), publish, and display that content in connection with operating and improving the Service.
You represent and warrant that you own or have all necessary rights to the content you post, and that posting it does not violate any third-party rights or applicable law. MusiTer is not responsible for the accuracy, legality, or appropriateness of any user-generated content.
MusiTer does not guarantee that users will receive bookings, engagements, employment, or professional opportunities through the Service.
7. Payments and Transactions
MusiTer may facilitate connections between users for services, bookings, or professional opportunities. MusiTer is not a party to any agreements between users and does not guarantee the performance, quality, legality, or safety of any services or interactions.
If payment processing is offered through the Service, it may be provided by third-party payment processors. MusiTer is not responsible for payment processing, disputes, refunds, chargebacks, or financial losses arising from user transactions.
8. Termination and Suspension
MusiTer may suspend or terminate your account and access to the Service at any time, for any reason or no reason, with or without notice, and without liability to you. Reasons may include, but are not limited to, violation of these Terms, conduct harmful to other users or the platform, or extended inactivity.
You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Service ceases immediately. We may retain certain information as required by law or for legitimate business purposes.
9. Intellectual Property
The MusiTer name, logo, and all Service content created by MusiTer (including software, design, and text) are the property of Musiter Inc. and are protected by applicable intellectual property laws. You may not use, reproduce, or distribute any MusiTer intellectual property without our prior written consent.
10. Copyright and DMCA
MusiTer respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on the Service infringes your copyright, please send a written notice to our designated agent at legal@musiter.com that includes:
- A description of the copyrighted work you claim has been infringed.
- A description of the material you claim is infringing, with sufficient detail to locate it on the Service.
- Your contact information (name, address, telephone number, and email address).
- A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law.
- A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.
- Your physical or electronic signature.
Upon receiving a valid takedown notice, MusiTer will remove or disable access to the allegedly infringing content and notify the user who posted it. That user may submit a counter-notification if they believe the content was removed in error.
MusiTer will terminate the accounts of users who are found to be repeat infringers.
11. Professional Disclaimer
The Service may include information related to careers, performances, or professional opportunities. Such information is provided for general informational purposes only and does not constitute professional, legal, or financial advice. You should seek independent professional guidance before relying on any such information for significant decisions.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. MUSITER DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY CONTENT ON THE SERVICE IS ACCURATE, COMPLETE, OR RELIABLE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MUSITER INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF MUSITER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MUSITER'S TOTAL LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO MUSITER IN THE TWELVE MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to defend, indemnify, and hold harmless Musiter Inc. and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your content, your violation of these Terms, or your violation of any rights of another person or entity.
15. Third-Party Links and Services
The Service may contain links to third-party websites or services. MusiTer does not control, endorse, or assume responsibility for any third-party content, products, or services. Your interactions with third parties are solely between you and those parties.
16. Force Majeure
MusiTer shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, internet or hosting failures, or governmental actions.
17. Export Compliance
You agree to comply with all applicable export control and trade laws and regulations of the United States when using the Service or transmitting any data through it.
18. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.
19. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, for material changes, notify you via email or a prominent notice on the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
20. Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. MusiTer may assign or transfer these Terms without restriction. Any purported assignment in violation of this section is null and void.
21. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. These Terms, including our Privacy Policy, which is incorporated by reference, constitute the entire agreement between you and MusiTer regarding the Service and supersede all prior agreements.
The provisions relating to intellectual property, limitation of liability, indemnification, and dispute resolution shall survive termination of these Terms.
22. Electronic Communications
By using the Service, you consent to receive electronic communications from MusiTer, including service-related notices, updates, and legally required communications. These electronic communications satisfy any legal requirement that such communications be in writing.
